Management Services for Wireless Communications Tower

Statements of Qualifications Due: October 30, 2026

 1. Purpose

The Village of Rhinebeck (“Village”) is seeking Statements of Qualifications (“SOQ”) from qualified firms interested in providing management services for the Village-owned wireless communications tower located at 76 East Market Street (Village Hall), Rhinebeck, New York, including management of the Village’s agreements with wireless carriers using the tower.

 2. Background

The Village owns the tower and holds the underlying agreements with the wireless carriers that use it. The Village’s current tower management arrangement, with Crown Castle (successor to JNS Enterprises, Inc.), expires March 27, 2027. The Village is issuing this RFQ to identify a qualified firm to provide management services under a new arrangement beginning at or before that time.

 3. Scope of Services

The Village anticipates retaining ownership of the tower and all carrier agreements with the selected firm managing the tower and those agreements on the Village’s behalf in exchange for a percentage of tower revenue. This is the Village’s baseline model; the Village welcomes alternative approaches, including those described in Section 4(e). Under the baseline model, services would include:

• Day-to-day management of the tower and administration of carrier agreements
• Identifying and negotiating new carrier opportunities, subject to Village approval
• Coordinating maintenance, inspections, and compliance with applicable federal, state, and local requirements
• Maintain inventory of tower loading and provide independent structural analysis reports for tenant equipment changes and new tenants.
• Coordinate and perform tower structure enhancements in conjunction with tenant equipment changes
• Coordinate with Village for any tower work and manage notice to process with tenants
• Billing and collection of carrier fees, with prompt and transparent remittance to the Village
• Regular reporting to the Village on tower condition, carrier compliance, and revenue
• Review and reconciliation of the Village’s fee and revenue records against Crown Castle’s (and its predecessor JNS Enterprises, Inc.’s) billing and remittance records for the preceding six (6) years
• Maintain commercial general liability insurance with a minimum limit of $10,000,000, which may be satisfied through a combination of primary and umbrella/excess liability coverage; automobile liability insurance with a minimum limit of $1,000,000; and statutory workers’ compensation coverage.
• Provide optional property insurance (Inland Marine) for the tower structure

 4. Submission Requirements

Each SOQ should include:

a. A brief description of the firm and its experience managing wireless communications tower assets, particularly for municipal or other public owners
b. The firm’s proposed approach to the scope of services described above
c. References from at least three comparable clients, ideally including other small municipalities
d. The firm’s proposed fee or revenue-share structure (a range is acceptable; final terms are subject to negotiation)
e. Any alternative structuring models the firm would recommend based on comparable engagements — for example, ground lease arrangements or other approaches the Village may not have considered — together with the rationale for each
f.  Contact information for the individual(s) authorized to represent the firm in this process

 5. Non-Collusion Certification

Each SOQ must include the following certification, signed by an authorized representative of the firm, consistent with General Municipal Law § 103-d:

 Non-Collusive Bidding Certification. By submission of this proposal, the undersigned certifies, under penalty of perjury, that: (1) the prices and terms in this proposal have been arrived at independently, without collusion, consultation, communication, or agreement with any other firm or competitor for the purpose of restricting competition; (2) unless otherwise required by law, the terms quoted in this proposal have not been knowingly disclosed by the firm, and will not knowingly be disclosed, directly or indirectly, to any other firm or competitor prior to submission; and (3) no attempt has been made or will be made by the firm to induce any other firm to submit or not submit a proposal for the purpose of restricting competition.

 6. Compliance with Applicable Law

This RFQ is issued in accordance with the Village’s procurement policies and procedures adopted pursuant to General Municipal Law § 104-b. Respondents, and any firm selected under this RFQ, will be required to comply with all applicable federal, state, and local laws governing the services described herein, including applicable provisions of the General Municipal Law.

 7. Evaluation

The Village will evaluate submissions based on relevant experience, quality of references, the firm’s proposed approach, and the firm’s proposed fee/revenue-share structure. The Village may request interviews or additional information from one or more firms before selecting a firm with which to negotiate a final agreement.

 9. Reservation of Rights

This RFQ does not commit the Village to award any contract. The Village, at its sole discretion, reserves the right to select any submission it chooses and to negotiate with one or more firms to arrive at a contractual outcome that may differ from this RFQ. The Village is not bound to accept any submission, and the lowest-cost or highest revenue-share proposal will not necessarily be selected. The Village also reserves the right to reject any and all submissions and to waive informalities.
